Agreement to Terms

Welcome to miScan Expense (the "Add-on"). These Terms and Conditions ("Terms") govern your use of a Google Workspace Add-on, provided by Virtuosoft System Consulting Inc. (“Virtuosoft”, "we," "our," or "us"). By installing or using the Add-on, you agree to be bound by these Terms. If you do not agree, do not install or use the Add-on.

If you are using the Add-on on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. License and Permitted Use

Subject to your compliance with these Terms, we grant you a revocable, non-exclusive, non-transferable, revocable license to install and use the Add-on solely for personal or internal business purposes within the Google Workspace environment.

2. Description of Add-on

miScan Expense is a Google Workspace add-on that facilitates the automatic capture and entry of receipt information from digital image to Google Sheet The Add-on operates within your Google account and uses limited data — your email address and a small set of user properties — as described in our Privacy Policy.

3. Google Workspace Requirements

Your use of this Add-on requires an active Google account and access to Google Workspace services (such as Google Sheets and Drive. You acknowledge that your relationship with Google is governed separately by Google’s own Terms of Service and Privacy Policies. We are not responsible for any actions, limitations, or outages caused by Google.

4. Eligibility

You must have a valid Google account and be at least 18 years of age (or the age of majority in your province, state or country of residence) and that you possess the legal right and capacity to enter into this Agreement. If you are not of the legal age of majority, you must immediately cease all use of the Add-on.

5. Acceptable Use

You agree not to use the Add-on to:

Violate any applicable local, state, national, or international laws.
Reverse-engineer, decompile, or attempt to extract the source code of the Add-on.
Interfere with or disrupt the performance of the Add-on or the Google servers running it.
Automate spam or malicious activities using the Add-on.
Resell, sublicense, or redistribute the Add-on without our written consent

6. Intellectual Property

All intellectual property rights in the Add-on, including but not limited to its design, code, branding, functionality, and documentation belong strictly to Virtuosoft and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service. Any feedback, suggestions, or ideas you provide about the Add-on may be used by us without obligation to you.

7. Disclaimer of Warranties

THE ADD-ON IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE ADD-ON WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

8. Limitation of Liability

IN NO EVENT SHALL VIRTUOSOFT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, DATA, OR USE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, RESULTING FROM YOUR USE OR INABILITY TO USE THE ADD-ON.

9. Indemnification

You agree to indemnify and hold harmless Virtuosoft from any claims, damages, liabilities, and expenses (including legal fees) arising from your violation of these Terms or misuse of the Add-on.

10. Termination

We reserve the right to modify, suspend, or terminate the Add-on or your access to it at any time, without prior notice, for any reason, including violation of these Terms or for conduct that is otherwise harmful to us, other users or third parties. You may terminate these Terms at any time by uninstalling the Add-on.

11. Changes to the Add-on

We may modify, suspend, or discontinue the Add-on (or any part of it) at any time, with or without notice. We are not liable for any resulting loss of functionality or data.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
